Investment objective


The EUR Participating Share Class aims to invest in privately owned companies directly or through SPVs, holding shares as a „buy and hold“ strategy until directed to sell by the Portfolio Manager. The goal is a balanced blend of capital growth and fixed income, targeting an annual return of 7-10%. Diversification is pursued through a mixed portfolio across sectors like credit leasing, non-performing bank loans, healthcare, and real estate. Neither the Fund nor its directors guarantee the investment objective, acknowledging the possibility of falling short of expectations or facing losses.

Our investment strategy

As an internally managed fund, we pursue a "Value Added Investment Strategy" overseen by our Portfolio Manager. Our focus is on maximizing capital appreciation and fixed income returns. We create different portfolios for various types of private equity investments, adjusting the investment ratios to manage risk.
Our investments are primarily made through Special Purpose Vehicles (SPVs) established for each targeted sector. We maintain a controlling interest in these SPVs, with up to 100% equity holding. Each prospective investment undergoes due diligence, including valuation by independent appraisers.

Our main aim is to invest in projects at seed funding or early-stage investments with potential for positive returns. All investments undergo consistent economic analysis and rigorous testing of underlying assumptions by our directors.

We aim to maximize total returns through timely investments, limited leverage, and active management of private equity investments. Additionally, we maintain a small buffer of cash, equities, and other liquid instruments for liquidity management.

Our target investors include high net worth individuals and institutional investors, with a regulatory requirement limiting shareholders to fifty (50) natural persons. The Fund targets the European Economic Area (EEA) and the Commonwealth of Independent States (CIS) and is open only to Professional investors.

Investment Process

Identification of Suitable Asset

Portfolio Manager identifies a suitable asset or target project for potential investment.

Professional Opinion and Valuation

Fund obtains a professional opinion from an expert in the sector and may conduct a professional valuation if deemed necessary.

Legal Due Diligence

Portfolio Manager conducts a thorough legal due diligence of the target project to assess legal risks and compliance.

Financial Due Diligence

Portfolio Manager conducts comprehensive financial due diligence of the target project to evaluate financial health and viability.

Investment Analysis

Portfolio Manager performs in-depth investment analysis, including evaluation, deal structuring, and negotiation steps to optimize investment potential.

Board of Directors Assessment

The Board of Directors evaluates each project's economics, estimates potential returns, and decides whether to authorize the investment.

Incorporation of Special Purpose Vehicle (SPV)

A Special Purpose Vehicle (SPV) entity, where the Fund will invest, is incorporated to facilitate the investment process.

Allocation of Funds

Funds from participating shareholders are allocated to the SPV, usually in the form of capital contributions, to finance the investment.

Management of Investment

The SPV acquires the identified asset or target project according to the investment agreement.

Acquisition of Asset

Portfolio Manager adheres to predetermined time horizons and exit strategies for each investment to maximize investment returns.
Potential exit strategies are included in the Investment Agreements signed at the time of investment, ensuring clarity and alignment of interests.
